In this workshop, John Carter highlights the potential opportunities and pitfalls when Michigan businesses enter into joint ventures (JV) or other strategic alliances (SA). Participants will discover when a JV or SA is a good option and how it is different from a typical partnership or other co-ownership, the legal considerations of selecting a good JV partner and the practical or contractual aspects of maintaining a JV or SA over time, including requirements and how to modify or dissolve them.
John will focus on issues related to management and control, profit sharing and distributions, securing intellectual property, obtaining new and keeping existing customers and succession planning. This workshop is ideal for existing business owners who are looking to partner with other businesses to combine resources and capabilities, without the expense and constraint of an acquisition.
John Carter is a principal member at Witzke Berry Carter & Wander, PLLC and leads the "Business Law and Commercial Transactions" group. He has been practicing business and commercial law for 18 years and focuses on assisting Michigan entrepreneurs with business formation, commercial transactions, licensing and franchises, and business succession planning.
Carter is an active member of the Business Law and Unincorporated Enterprises section of the Michigan Bar and serves as a mentor and teacher with various Michigan entrepreneurial and small business organizations. He received his undergraduate degree from Michigan State University and his law degree from the University of Miami, Fl.
